1. Acceptance of Terms

StratPlanArc (the "Service" or "Platform") is operated by Simon Leadership Group LLC ("Company," "we," "us," or "our"). By accessing or using StratPlanArc, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. Your continued use of StratPlanArc constitutes acceptance of these Terms.

2. Service Description

StratPlanArc provides AI-powered strategic planning tools designed to help organizations (nonprofits, government agencies, and small businesses) develop strategic plans through:

• An intake form capturing your organization's context, goals, and challenges, with optional reference document uploads
• AI-generated research context and a draft strategic plan (mantra, mission, vision, values, SWOT analysis, strategic priorities, KPIs, and implementation roadmap), with alternative options for key statements
• Stakeholder surveys and iterative feedback rounds, including voting on plan components, that produce revised plan versions
• KPI and action-item tracking for the plan

Plan generation uses Anthropic's Claude API; see our Privacy Policy for how your data is processed. The Service is provided on an "as-is" basis without warranties of specific outcomes or results.

3. ⚠️ Foundational Plan Disclaimer

By using StratPlanArc, you acknowledge and agree that:

• Strategic plans generated by StratPlanArc are planning tools, not guarantees of business success or organizational outcomes
• Plans are intended as a starting point for your organization's strategic planning process, not a final deliverable
• Your organization is responsible for reviewing, evaluating, revising, and adapting plans to fit your specific needs, circumstances, and expertise
• You should consult your own independent professional advisors, including strategic planning consultants, legal counsel, financial advisors, and industry experts relevant to your sector
• Your organization must conduct its own due diligence, feasibility analysis, stakeholder validation, and evaluation in the course of adopting, modifying, or implementing any portion of a StratPlanArc plan
• Implementation of any StratPlanArc plan recommendations is entirely at your organization's discretion and risk

The Company makes no representations regarding:

• Feasibility or likelihood of plan success
• Financial projections or revenue impact
• Competitive positioning or market outcomes
• Organizational growth or achievement of stated goals
• Quality or accuracy of stakeholder input
• Alignment with industry best practices

4. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

The Company and its owners, officers, employees, agents, and affiliates ("Company Parties") shall NOT be liable for:

• Business losses or damages resulting from the use of or reliance on strategic plans
• Lost profits, revenue, data, or business opportunity
• Loss of goodwill or reputation
• Indirect, incidental, special, consequential, or punitive damages
• Any damage or loss arising from decisions made or actions taken based on StratPlanArc plans
• Failure to achieve organizational goals or strategic objectives
• Implementation failures or poor outcomes resulting from plan adoption

This limitation applies regardless of the cause of action (negligence, breach of contract, tort, strict liability, etc.), the legal theory on which the claim is based, or whether the Company has been advised of the possibility of such damages.

5. Indemnification

You agree to indemnify, defend, and hold harmless the Company Parties from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of StratPlanArc
• Your reliance on generated plans or recommendations
• Your implementation of or failure to implement plan recommendations
• Your breach of these Terms
• Business decisions or outcomes resulting from strategic plans
• Any claims by third parties related to your use of the Service, including claims by stakeholders whose contact details you provide

6. Disclaimer of Warranties

STRATPLANARC IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS.

The Company makes NO WARRANTIES, express or implied, including:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted, error-free, or free from bugs
• Warranties that generated plans will achieve specific outcomes
• Warranties regarding the accuracy, completeness, or relevance of AI-generated recommendations
• Warranties that stakeholder data will be accurately captured or represented
• Warranties regarding plan quality or professional caliber

You use StratPlanArc entirely at your own risk.

7. Acceptable Use Policy

You agree NOT to:

• Use StratPlanArc for any illegal purpose or in violation of applicable laws
• Upload malware, viruses, or malicious code
• Attempt to gain unauthorized access to the platform or its systems
• Interfere with or disrupt the operation of the Service
• Reverse engineer, decompile, or attempt to derive source code
• Scrape or automate data collection beyond normal use
• Use StratPlanArc to create competing products or services
• Distribute or reproduce content without permission
• Send survey or voting invitations to people who have not agreed to receive them from your organization
• Harass, defame, or abuse other users

8. Intellectual Property

8.1 User-Generated Plans and Content

You retain full ownership of:

• Strategic plans generated for your organization
• Your organization's proprietary information and strategic context
• Stakeholder feedback and survey responses you provide
• Any modifications or adaptations you make to generated plans

The Company retains no ownership or rights to your organizational data or generated plans.

8.2 StratPlanArc Platform & Tools

StratPlanArc's technology, methodologies, prompts, and user interface remain the exclusive intellectual property of the Company. You may not copy, modify, or redistribute any portion of the platform without express written permission.

9. Accounts, Subscriptions, and Payments

• You may fill out the intake form without an account, but generating a plan requires an account
• Paid access is sold as a monthly subscription (Starter or Growth). Each tier includes a set number of plan generations per month; current limits and prices are listed on the pricing page
• Payments are processed by Stripe. You can update your payment method or cancel your subscription through the billing portal on your account page
• A promo code, where offered, grants one free plan generation to the account that redeems it

10. User Responsibilities

You are responsible for:

• Providing accurate organizational information and strategic context
• Ensuring that all information you upload does not infringe on third-party rights
• Obtaining necessary approvals from your organization before sharing strategic information
• Having the right to share your stakeholders' email addresses with us for invitations
• Validating and fact-checking all generated plans before implementation
• Consulting appropriate professional advisors before adopting plan recommendations
• Protecting your access credentials and not sharing your account with unauthorized users
• Notifying the Company immediately of any unauthorized use of your account

11. Service Modifications & Termination

The Company reserves the right to:

• Modify, suspend, or discontinue the Service (or any portion thereof) at any time, with or without notice
• Update or change pricing, terms, or features
• Terminate your access for violation of these Terms or applicable laws

We will attempt to provide notice of material changes where practicable, but are not obligated to do so.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating formal proceedings, we encourage you to contact us at brian@tapiki.com to attempt informal resolution of any disputes.

12.2 Governing Law & Jurisdiction

These Terms shall be governed by applicable law. You agree to submit to the exclusive jurisdiction of courts located in the applicable jurisdiction for any legal proceedings.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms constitute the entire agreement between you and the Company regarding the Service and supersede any prior agreements or understandings.

15. Amendments

The Company may modify these Terms at any time by posting updated terms on the website. Continued use of the Service after changes constitutes acceptance of modified terms.
